This End-User License Agreement (“Agreement”) governs use of the private QuickBooks Online software integration known as “Bayview Accounting Connector” (the “Integration”). By connecting the Integration to QuickBooks Online or otherwise using it, you agree to this Agreement. If you do not agree, do not connect or use the Integration.
1. Nature of the Integration
The Integration is a private, internal tool for Bayview Solutions, LLC and Bayview Tech Solutions, LLC. It is not an Intuit App Store product and is not licensed to the public. It uses Intuit OAuth to access QuickBooks Online company data on a read-only (GET / query) basis and is not intended to write, modify, or delete QuickBooks records.
2. License grant
Subject to this Agreement, each Bayview Company, as to its own QuickBooks Online company file, grants you a limited, revocable, non-exclusive, non-transferable license to use the Integration solely to connect and query QuickBooks Online company files for Bayview Solutions, LLC and Bayview Tech Solutions, LLC in the course of authorized internal business operations.
3. Who may use
Only Aron Tomko and individuals Aron expressly authorizes (“Authorized Operators”) may use the Integration. You represent that you are an Authorized Operator (or are connecting on behalf of one with authority to bind the applicable company). Sharing credentials or allowing unauthorized persons to use the Integration is prohibited.
4. Restrictions
You may not:
- Use the Integration for any company other than Bayview Solutions, LLC or Bayview Tech Solutions, LLC without the applicable Bayview Company’s prior written approval
- Redistribute, sublicense, sell, or publicly offer the Integration
- Attempt to expand OAuth scopes or enable write access except as Bayview separately authorizes in writing
- Circumvent security, logging, or disconnect controls
- Use the Integration in violation of law, Intuit’s terms, or Bayview’s policies
5. Intuit / QuickBooks relationship
QuickBooks Online is provided by Intuit Inc. and its affiliates. Your use of QuickBooks remains subject to Intuit’s applicable terms and policies. Bayview is not Intuit, and this Integration is not endorsed as a public Intuit Marketplace application merely because production API keys are obtained for private use.
6. Data; privacy
Handling of information accessed through the Integration is described in the Integration Privacy Policy published for this product. Tokens and retrieved data may be processed by AI assistants and automation tools Bayview uses internally, which may run on Bayview-controlled computers or on cloud infrastructure provided by Bayview’s service providers.
7. Disconnect and termination
You or a company administrator may disconnect at any time by (a) revoking the app’s access in QuickBooks Online / Intuit settings, and (b) disconnecting the Integration so stored tokens are no longer used. Bayview may suspend or terminate the Integration or this license at any time. On termination or disconnect, the license ends and you must stop using the Integration.
8. No professional advice; “as is”
The Integration is provided “as is” and “as available.” Bayview does not warrant uninterrupted or error-free operation, or that queried data will be complete or current. The Integration does not provide legal, tax, or accounting advice. To the maximum extent permitted by law, Bayview disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, Bayview and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, arising from the Integration or this Agreement, even if advised of the possibility. Bayview’s total liability arising out of this Agreement or the Integration will not exceed one hundred U.S. dollars (US $100).
10. Indemnity
You agree to indemnify and hold harmless Bayview and its officers, directors, employees, and agents from claims arising out of your unauthorized use of the Integration or your violation of this Agreement or Intuit’s terms.
11. Changes
Bayview may update this Agreement by posting a revised version with a new “Last updated” date. Continued use after the effective date constitutes acceptance of the revised Agreement, except where applicable law requires otherwise.
12. Governing law
This Agreement is governed by the laws of the State of Florida, excluding conflict-of-law rules. Exclusive venue for disputes is the state or federal courts located in Pinellas County, Florida, unless applicable law requires otherwise.
